ADQ Expands Advisory Team for AD Ports Group Acquisition

Abu Dhabi Developmental Holding Company (ADQ) has strengthened its advisory team by appointing International Securities LLC as a co-manager for its ongoing voluntary conditional cash offer to acquire the remaining shares of AD Ports Group. International Securities will join a robust lineup of financial institutions already managing the deal, including joint lead managers Emirates NBD Capital and First Abu Dhabi Bank (FAB), along with co-lead manager EFG Hermes UAE. Both Emirates NBD Bank and FAB have been designated as the joint lead receiving banks for the tender process.

This move follows ADQ’s strategic bid to increase its current 75.42 percent stake in the port operator. The offer provides shareholders with a significant cash incentive of Dh6.25 per share, representing a 23 percent premium over the closing price recorded prior to the bid's announcement. As the tender window—which opened on August 18 and runs until September 15, 2026—progresses, the addition of International Securities underscores the scale of the transaction, which follows a period of strong financial performance for AD Ports, including an 88 percent surge in net profit during the second quarter.
