ADQ Finalizes Acquisition Terms for Full Control of Abu Dhabi Ports

The Abu Dhabi Developmental Holding Company (ADQ), a subsidiary of the sovereign wealth fund L’imad, has officially cleared all major hurdles required to acquire full ownership of AD Ports Group. Following a voluntary cash offer initiated on August 18, 2026, the company confirmed that all necessary conditions have been satisfied, with the final settlement process set to conclude by October 9, 2026. This move will see ADQ purchase all outstanding shares it does not currently own at a price of Dh6.25 per share, cementing its status as the sole owner of the maritime and logistics infrastructure operator.

The deal follows a record-breaking second quarter for AD Ports, which saw net profits surge by 88 percent to reach Dh836 million. Supported by a fairness opinion from HSBC Bank Middle East, the AD Ports board had previously urged shareholders to accept the offer, noting that the valuation was financially sound. With Rothschild & Co providing financial advisory services, this acquisition marks a strategic expansion for L’imad, integrating the entirety of AD Ports’ global portfolio—which encompasses 40 terminals across 50 countries—directly under the ADQ umbrella. Final regulatory notifications to the Securities and Commodities Authority and the Abu Dhabi Securities Exchange are currently being processed to wrap up the transaction.
