L’IMAD Proposes Full Buyout of AD Ports Group at Dh6.25 Per Share

L’IMAD, the Abu Dhabi-based sovereign investor, has formally announced a voluntary conditional cash offer to acquire the remaining stake in AD Ports Group. Currently, L’IMAD’s subsidiary, ADQ, holds a 75.42% interest in the maritime and logistics giant. By offering Dh6.25 per share, the firm is providing a significant premium of 23% over the company’s last closing price and a massive 95% premium compared to its initial listing price in 2022. This move is designed to offer existing shareholders an immediate opportunity to secure financial gains as the investor seeks to consolidate full control of the entity.

The proposal arrives on the heels of record-breaking financial performance for AD Ports, which recently saw its second-quarter net profit surge by 88% to Dh836 million. Bolstered by strong results across its shipping, logistics, and economic zone sectors, the group continues to demonstrate robust growth. While the acquisition remains subject to necessary regulatory approvals, the company has confirmed receipt of the offer and intends to provide further updates as the process moves forward. A team of prominent financial and legal advisors, including Rothschild & Co and First Abu Dhabi Bank, has been assembled to manage the transition.
